1. Parties
These terms govern the relationship between Hexagonize LLC (hereinafter "Hexagonize") and any person or company that engages its services (hereinafter "the client").
2. Services
Hexagonize provides web development, custom applications, automations, and technology integration services. The scope, price, and specific conditions for each project are defined in the commercial proposal accepted by the client before work begins.
3. Proposals and Quotes
Proposals are valid for 30 days from the date of issue. After that period, Hexagonize may revise the terms. Accepting a proposal confirms the start of the development process as agreed.
4. Payments
Payment terms are specified in each proposal. In general, projects require a 50% upfront payment to begin and the remaining 50% upon delivery. Hexagonize reserves the right to pause or cancel work if agreed payments are not received within the established timeframe.
5. Intellectual Property
Upon full payment, the client receives full ownership of the code and assets developed for their project. Hexagonize may reference the project in its portfolio unless the client explicitly requests otherwise.
6. Client Responsibilities
The client is responsible for:
- Providing necessary information and assets within agreed timelines
- Reviewing and approving deliverables within a reasonable time
- Ensuring that provided content (text, images, data) does not infringe third-party rights
7. Limitation of Liability
Hexagonize is not liable for business losses, data loss, or indirect damages arising from the use or inability to use the developed systems. Hexagonize's maximum liability in any case is limited to the amount paid for the project.
8. Modifications
Hexagonize may update these terms at any time. Changes apply to contracts signed after the publication date of the new version. Ongoing projects are governed by the terms in effect at the time of signing.
9. Governing Law
These terms are governed by the laws of the State of Florida, United States. Any dispute will preferably be resolved amicably. If no agreement is reached, the parties submit to the jurisdiction of the competent courts of Florida.
